Terms and Conditions of Sale

1 – Any delivery resulting from a written, faxed or telephone order is subject to the express acceptance of these General Terms and Conditions of Sale.

2 – Our goods, even when sold under "FRANCO" (free delivery) terms, are transported at the recipient's risk. In case of damage or loss, it is the recipient's responsibility to make any necessary claims with the carrier within three (3) days by registered letter with acknowledgment of receipt, and to pursue all recourse against said carrier.

3 – Payment for orders may be made by bank transfer, PayPal, credit card (CB) or Mastercard, under the standard terms and conditions previously agreed upon with Sodijantes Industrie.

4 – Delivery times are given for information purposes only. Any delay shall not give rise to any compensation or cancellation of the order. The company shall be automatically released from any commitment relating to delivery times, particularly in the following caseS :

When information, documents, materials, or test parts have not been provided by the buyer in due time;
When changes are made during execution at the buyer’s request;
In cases of force majeure;
When payment conditions are not respected.

Terms and Conditions of Sale

5 – Unreserved acceptance of the goods shall constitute acceptance of the delivery.

6 – Our products are guaranteed for one (1) year against any manufacturing defect from the date of delivery, provided they are used under normal conditions and for the intended purpose as declared at the time of order.
Replacement will only be granted after inspection of the disputed part, which must be returned to us carriage and packaging paid.

If another company intervenes or if repairs are carried out outside our control, this warranty will become null and void. No repair invoice, compensation, or damages will be accepted in such cases

7 – Goods are payable upon collection, either in cash or by non-accepted LCR (lettre de change relevé), subject to prior agreement. No discount is granted for early payment. Each order is subject to a flat handling and packaging charge of €3.81 excl. VAT.

Late Payment Penalties

8 – Late Payment Penalties : Any amount not paid by its due date shall automatically incur late payment interest at the refinancing rate of the European Central Bank (ECB), increased by 10 percentage points, in accordance with Article L.441-6 paragraph 12 of the French Commercial Code. In addition, a fixed compensation of €40 will be due for recovery costs, as provided for in Articles L.441-3 and L.441-6 of the same Code.

9 – In the event of bill extension, any costs and interest resulting from the extension shall be borne by the buyer.

10 – If the buyer’s creditworthiness deteriorates or if the credit insurance company does not guarantee the buyer up to a sufficient outstanding amount, we reserve the right to require the buyer to provide guarantees deemed appropriate to ensure proper fulfillment of obligations. Failure to comply shall entitle us to cancel all or part of the contract.

11 – Failure to pay a single invoice by its due date shall automatically render all other invoices issued in the name of the defaulting buyer immediately due and payable, without prejudice to Article 8 above.

Retention of Title Clause

12 – Retention of Title Clause :Delivered goods shall remain our property until full payment has been made by the buyer, in accordance with Article L.624-16 of the French Commercial Code.

13 – Jurisdiction : In the event of any dispute, the Courts of Calvados shall have sole jurisdiction.

14 – Our clients expressly waive the right to rely on any clauses written on their own documents if they conflict with these General Terms and Conditions.
